TERMS AND CONDITIONS OF USE OF THE ALFRED PLATFORM

These Terms and Conditions ("Terms") govern the access to and use of the Alfred Platform ("Platform"), owned and operated by Alfred Pay Labs LLC and its affiliates and subsidiaries (collectively, "Alfred").

By accessing or using the Platform, you (the "Client") accept these Terms, our Privacy Notice, and any other agreement or legal document referenced herein. If you do not agree, you must refrain from using the Platform.

1. Definitions

Customer: Any natural or legal person who accesses, registers, or uses the Platform or any of its Services. 

Platform: The digital medium provided by Alfred for the acquisition or exchange of digital assets. 

Services: Services offered through the Platform, including but not limited to the purchase and exchange of digital assets. 

Account: Account created by the Customer to access and manage the Services. 

Funds: Resources deposited by the Customer to carry out transactions within the Platform.

2. Eligibility and Use Restrictions

The Customer must be at least 18 years old and have legal capacity under U.S. law. Use of the Platform for illegal or fraudulent purposes is strictly prohibited. The Platform may not be used by residents or citizens of countries subject to international sanctions lists (OFAC, UN, EU) or jurisdictions classified as high-risk by the FATF. Alfred may suspend any account linked to such jurisdictions and cancel accounts based on anti-money laundering and counter-terrorist financing (AML/CFT) compliance criteria.

3. Platform Access and Availability

The Platform is available 24/7, except for interruptions due to maintenance or technical failures. Alfred will notify of relevant interruptions when possible.

4. Account Registration

The Customer must complete registration by providing personal information and documentation in accordance with the identity verification processes required by the Bank Secrecy Act (BSA), the USA PATRIOT Act, FinCEN regulations, and other applicable federal and state regulations. Alfred may report suspicious activity to the Financial Crimes Enforcement Network (FinCEN) and request additional information.

5. Password and Security

The Customer is responsible for keeping their access credentials confidential. Alfred does not store passwords and is not liable for unauthorized access resulting from Customer negligence. Two-factor authentication (2FA) is recommended. Alfred may monitor transactions using technological tools to detect unusual, suspicious, or high-risk activity and may suspend services temporarily until the legality of operations is verified.

6. Services Description

Alfred provides a Platform for the acquisition and exchange of digital assets. It does not provide financial advice, guarantee returns, or act as a custodian or wallet provider under applicable law. The Customer acknowledges the decentralized and highly volatile nature of digital assets and accepts that transactions are conducted at their own risk and may result in the total loss of the invested value. The assets are not backed by any government or financial institution.

7. Fees and Taxes

Use of the Platform does not incur registration charges. Transaction fees are available on the Platform. The Customer is responsible for declaring and paying any applicable federal, state, or local taxes arising from their transactions, in accordance with Internal Revenue Service (IRS) regulations.

8. Data Protection and Privacy

The Customer’s personal data will be handled in accordance with the Gramm-Leach-Bliley Act (GLBA), relevant provisions of state data privacy laws (e.g., California Consumer Privacy Act - CCPA), and Alfred’s Privacy Policy. Alfred implements administrative, technical, and physical measures to protect information. The Customer may exercise their data rights by writing to support@alfredpay.com. Alfred may share Customer information with U.S. and international authorities as required by law, regulation, legal process, or treaties.

9. Refunds and Cancellations

Due to the irreversible nature of digital asset transactions, they cannot be canceled or refunded once executed. In exceptional cases, and at Alfred’s sole discretion, a refund request may be considered.

10. Use of External Wallets and Incompatible Assets

The Customer may use external wallets at their own risk. It is their responsibility to verify asset and address compatibility, and the use of ERC-20/BEP-20 standards is recommended based on supported assets. Alfred is not responsible for losses resulting from compatibility errors or incorrect addresses.

11. Intellectual Property

 All content on the Platform (software, logos, texts, etc.) is the property of Alfred. Unauthorized use, reproduction, or modification without express written consent is prohibited.

12. Confidentiality

The Customer agrees not to disclose or misuse confidential information obtained through the Platform.

13. Advertising and Third-Party Content

The Platform may display advertisements or links to third-party content. Alfred does not endorse or accept responsibility for such content. The Customer assumes the risk when accessing third-party links.

14. Modifications

Alfred may modify these Terms at any time. Modifications will take effect upon publication. Continued use of the Platform constitutes acceptance of such modifications.

15. Disclaimer of Warranties

The Platform is provided “as is” and “as available.” Alfred does not guarantee uninterrupted operation or that it is free of cyber threats. It does not guarantee asset value appreciation and is not liable for losses due to force majeure.

16. Limitation of Liability

To the extent permitted under U.S. law, Alfred shall not be liable for indirect damages, service interruptions, data loss, or financial loss arising from the use of the Platform.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), under its Commercial Arbitration Rules, in English, with the seat in Wilmington, Delaware.

18. Account Termination: The Customer may request account closure at any time. Alfred will define applicable procedures for fund settlement and data deletion in accordance with applicable data protection laws.

19.Digital Consent: The Customer agrees that electronic acceptance of these Terms has full legal validity under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

20.Customer Declarations: The Customer declares, under penalty of perjury, that the funds used on the Platform come from lawful activities and agrees to provide supporting documentation if requested by Alfred or competent authorities. The Customer acknowledges and agrees to Alfred’s internal policies, including those on AML, sanctions, transaction monitoring, and risk management.

21.Limits and Fund Retention: Alfred may impose operational limits on Customer transactions and temporarily withhold funds in cases of compliance review, authority request, or identity or fund origin validation.

23.Acceptance of Terms: By creating an Account or using any part of the Platform, the Customer acknowledges having read, understood, and accepted these Terms and the Privacy Policy.

24.Country-Specific Versions: To comply with local regulations, Alfred provides country-specific versions of these Terms and Conditions for the following countries: • Brazil • Argentina • Mexico • Peru • Dominican Republic • Colombia • United States

25.Service Availability, Technical Support, and Contact Channels:

25.1. Service Availability: Alfred’s Services will be available 24/7, except for interruptions due to scheduled maintenance, technical failures, or force majeure events. Alfred will make reasonable efforts to notify the Customer of any significant interruptions.

25.2. Technical Support: Alfred provides technical support for questions related to access, Platform use, transactions, security, errors, or any technical issues. Support is provided in English via designated channels, Monday to Friday from 9:00 AM to 6:00 PM ET, excluding federal holidays.

25.3. Contact Channels: The Customer may contact Alfred via support@alfredpay.com or the contact form on the Platform. Alfred will respond within a maximum of five (5) business days. For urgent matters, include the word “URGENT” in the email subject.

25.4. Updates and Interruptions: Alfred may implement improvements, updates, or changes to the Platform that may cause temporary service interruptions. In such cases, Alfred will endeavor to notify Customers at least 24 hours in advance via email or Platform notice.

25.5. Limitation of Liability for Interruptions: Alfred shall not be liable for interruptions beyond its control, such as internet provider failures, Customer network issues, cyberattacks, or force majeure events. However, Alfred commits to investigating and resolving incidents within its control as promptly as technically possible.
